Usage Agreement
This is the Usage Agreement by which Image Net Ltd licenses the use of ibank and Fetch images, which can only be used on the terms of this agreement. If you use ibank or Fetch you are agreeing to be bound by this Agreement. By this Agreement Image Net Ltd licenses you to use ibank and/or Fetch in accordance with it's terms.
Restrictions On Use
In this Agreement: Image Net refers to Image Net Ltd, a New Zealand Company, it's successors and assigns; ibank means Image Net's high resolution Image Library service and Fetch means Image Net’s low resolution Image Library service for Space Management. Both ibank and Fetch allow the use of visual images and relevant information to be used in the correct medium within the correct specifications and criteria. Image Net Ltd reserves the right to restrict usage of images and or information if authorised by the supplier. This agreement is subject to the laws of New Zealand.
By downloading the image(s) you agree:
- That you have been authorised to use these image(s) by the Manufacturer or Supplier of these products.
- That the manipulation or retouching of these images is not permitted unless authorised.
- That ibank images are to be used for a single application, and not stored on any other database.
- That Fetch images may only be stored for the purpose of supplementing Space Management planograms and may not be used for any other purpose without prior permission.
Copyright & Intellectual Property Rights
Image Net's copyright and other intellectual property rights in ibank and Fetch are protected by the laws of the various jurisdictions in which they are available for use and by international treaties. By using ibank and Fetch you acknowledge and agree that we are the sole owner of the intellectual property, copyright, and all other rights in the content stored, displayed, distributed and managed within ibank and Fetch. You further acknowledge and agree that you must not copy, adapt, alter, modify, reproduce or redistribute ibank or Fetch content, or permit any other person to do so, except as authorised by this agreement. In respect of the web site, and it's content, we have the absolute right to sell lease or licence the web site and related content.
Damages
Under no circumstances will Image Net Ltd be liable for any general damages, special damages, direct or indirect damages, punitive or exemplary damages, economic loss, loss of profit or the diminution in the value of any asset.
Image Net Ltd Responsibility
Image Net Ltd will endeavour to ensure companies update all their images and relevant information and assist if requested. However Image Net Ltd accepts no responsibility for usage and output as well as any missing, incorrect, out-of-date images or information.
Personal Responsibility
You acknowledge that:
- You have agreed to these terms on your own account and not as agent for any other person or entity except in the case of an individual making this agreement on behalf of an employer company.
- You have the legal right to agree to these terms.
- "You" and "your" means the person licensed to use ibank and/or Fetch, that person's heir's, executors and assigns and includes any licensed corporation or other entity.
Terms of Trade
Image Net Ltd may vary its terms of trade by notice to its customers from time to time.
Image Net Ltd may transfer this agreement. If it does so, you will be bound by the terms of this Agreement as if the Transferee was Image Net Ltd.
Termination
This license will terminate automatically if you fail to comply with any of the terms of this Usage Agreement, and on any such termination, you will cease to use any of the licensed images or data or related material. Upon termination you will be denied access to the Internet site. Either party to this Agreement may terminate this Agreement at any time.
